General Terms and Conditions

1) Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as “GTC”) of the company Christian Habenicht (hereinafter referred to as “Seller”) shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as “Client”) and the Seller relating to all goods and/or services presented in the Seller’s online shop. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.

1.2 These GTC apply accordingly to the supply of digital content, unless expressly agreed otherwise.

1.3 Regarding the purchase of vouchers, these GTC shall apply accordingly, unless expressly agreed otherwise.

1.4 For contracts regarding the delivery of vouchers, these GTC shall apply accordingly, unless expressly agreed otherwise.

1.5 These GTC apply accordingly for the delivery of licence keys, unless expressly otherwise provided. In doing so, the Seller shall owe the provision of a licence key for the use of the software or content described by him as well as the granting of the contractually agreed rights for the use of the respective software or content. The Client does not acquire intellectual property rights to the software or content. The respective product description in the Seller’s online shop is decisive for the quality of the software or content.

1.6 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity. A trader pursuant to these GTC is any natural or legal person or partnership with legal capacity acting in the performance of a commercial or self-employed occupational activity when concluding a legal transaction.

1.7 Digital content in the sense of these GTC is all data not stored on a tangible medium which is produced in digital form and supplied by the Seller by granting certain usage rights precisely defined in these GTC.

2) Conclusion of the Contract

2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller, but merely serve the purpose of submitting a binding offer by the Client.

2.2 The Client may submit the offer via the online order form integrated into the Seller’s online shop. In doing so, after having placed the selected goods and/or services in the virtual basket and passed through the ordering process, and by clicking the button finalizing the order process, the Client submits a legally binding offer of contract with regard to the goods and/or services contained in the shopping cart.

2.3 The Seller may accept the Client’s offer within five days,

  • by transferring a written order confirmation or an order confirmation in written form (fax or e-mail); insofar receipt of order confirmation by the Client is decisive, or
  • by delivering ordered goods to the Client; insofar receipt of goods by the Client is decisive, or
  • by requesting the Client to pay after he placed his order.

Provided that several of the aforementioned alternatives apply, the contract shall be concluded at the time when one of the aforementioned alternatives firstly occurs. Should the Seller not accept the Client’s offer within the aforementioned period of time, this shall be deemed as rejecting the offer with the effect that the Client is no longer bound by his statement of intent.

2.4 If a payment method offered by PayPal is selected, the payment will be processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter referred to as “PayPal”), subject to the PayPal Terms of Use, available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full?locale.x=en_DE or, if the Client does not have a PayPal account, subject to the Terms for payments without a PayPal account, available at https://www.paypal.com/uk/webapps/mpp/ua/privacywax-full#:~:text=You%20should%20note%20that%20PayPal’s,offer%20under%20the%20user%20agreement. If the Client pays by means of a method of payment offered by PayPal which can be selected in the online order process, the Seller hereby declares the acceptance of the Client’s offer at the time when the Client clicks on the button concluding the order process.

2.5 When submitting an offer via the Seller’s online order form, the text of the contract is stored by the Seller after the contract has been concluded and transmitted to the Client in text form (e.g. e-mail, fax or letter) after the order has been sent. The Seller shall not make the contract text accessible beyond this. If the Client has set up a user account in the Seller’s online shop prior to sending his order, the order data shall be stored on the Seller’s website and can be accessed by the Client free of charge via his password-protected user account by specifying the corresponding login data.

2.6 Prior to submitting a binding order via the Seller’s online order form, the Client may recognize input errors by reading attentively the information displayed on the screen. The enlargement function of the browser to enlarge the display on the screen may be an effective method for better recognizing input errors.
The Client can correct all the data entered via the usual keyboard and mouse function during the electronic ordering process, until he clicks the button finalizing the ordering process.

2.7 The German and the English language are exclusively available for the conclusion of the contract.

2.8 Order processing and contacting usually takes place via e-mail and automated order processing. It is the Client’s responsibility to ensure that the e-mail address he provides for the order processing is accurate so that e-mails sent by the Seller can be received at this address. In particular, it is the Client`s responsibility, if SPAM filters are used, to ensure that all e-mails sent by the Seller or by third parties commissioned by the Seller with the order processing can be delivered.

3) Right to Cancel

3.1 Consumers are entitled to the right to cancel.

3.2 Detailed information about the right to cancel are provided in the Seller’s instruction on cancellation.

3.3 The right to cancel does not apply to consumers, who are no nationals of a member state of the European Union at the time of concluding the contract und whose exclusive domicile and delivery address were located outside of the European Union at the time of concluding the contract.

4) Prices and Payment Conditions

4.1 Unless otherwise stated in the Seller’s product description, prices indicated are total prices including the statutory sales tax. Delivery costs, where appropriate, will be indicated separately in the respective product description

4.2 Payment can be made using one of the methods mentioned in the Seller’s online shop.

4.3 In case of delivery to countries outside the European Union, additional costs may incur in individual cases for which the Seller is not responsible and which have to be borne by the Client. This includes for example transfer fees charged by banking institutes (transfer charges, exchange fees) or import duties or taxes (customs). Such costs regarding money transfer may also incur, if delivery is not made in a country outside the European Union and the Client carries out the payment from a country outside the European Union.

5) Shipment and Delivery Conditions

5.1 Goods are generally delivered on dispatch route and to the delivery address indicated by the Client, unless agreed otherwise. During the processing of the transaction, the delivery address indicated in the Seller’s order processing is decisive.

5.2 Should the assigned transport company return the goods to the Seller, because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client exercises his right to cancel effectively, if the delivery cannot be made due to circumstances beyond the Client’s control or if he has been temporarily impeded to receive the offered service, unless the Seller has notified the Client about the service for a reasonable time in advance.

5.3 Personal collection is not possible for logistical reasons.

6) Granting Rights of Use for Licence Keys

6.1 The license key provided entitles the Client to use the software or content as described in the respective product description.

6.2 The granting of rights shall become effective only when the Client has fully paid the owed remuneration.

7) Granting Rights of Use for Digital Content

7.1 Unless otherwise stipulated in the description of contents displayed in the Seller’s online shop, the Seller grants the client the non- exclusive right, unlimited in relation to place and time, to use the contents supplied for private and professional purposes.

7.2 The transmission of content to third parties or the production of copies to third parties in a way not covered by the GTC is prohibited, unless the Seller has consented to the transfer of the contractual license to third parties.

7.3 The granting of rights pursuant to section 158 (1) German Civil Law Code will only become effective, if the Client has paid the contractually stipulated compensation in full. The Seller may allow the use of the contractual contents temporarily prior to this date. A transfer of rights does not take place via such a provisional permission.

8) Reservation of Proprietary Rights

If the Seller provides advance deliveries, he retains title of ownership to the delivered goods, until the purchase price owed has been paid in full.

9) Warranty

9.1 Should the object of purchase be deficient, statutory provisions shall apply.

9.2 The Client is asked to notify any obvious transport damages to the forwarding agent and to inform the Seller accordingly. Should the Client fail to comply therewith, this shall not affect his statutory or contractual claims for defects.

10) Redemption of Campaign Vouchers

10.1 Vouchers which are issued by the Seller free of charge, for a specific period of validity in the context of promotional activities and which cannot be purchased by the Client (hereinafter referred to as “campaign vouchers”) can only be redeemed in the Seller’s online shop and only within the indicated time period.

10.2 Individual products may be excluded from the voucher campaign, if such a restriction results from the conditions of the campaign voucher.

10.3 In case of an order, several campaign vouchers can be redeemed.

10.4 The goods value should meet at least the amount of the campaign voucher. The Seller will not refund remaining assets.

10.5 If the value of the campaign voucher is not enough for the order, the Client may choose one of the remaining payment methods offered by the Seller to pay the difference.

10.6 The campaign voucher credit will not be redeemed in cash and is not subject to any interest.

10.7 The campaign voucher will not be redeemed, if the Client, in the context of his legal right to cancel, returns goods paid fully or partially by a campaign voucher.

10.8 Campaign vouchers are only intended for the use of the person designated on the voucher. Transferring the campaign voucher to a third party is not permitted. The Seller is entitled but not obliged to check the entitlement of the respective voucher owner.

11) Redemption of Gift Vouchers

11.1 Vouchers which can be purchased via the Seller’s online shop (hereinafter referred to as “gift vouchers”) can only be redeemed in the Seller’s online shop, unless otherwise stipulated in the voucher.

11.2 Gift vouchers and remaining assets of gift vouchers can be redeemed by the end of the third year following the year of the gift voucher purchase. Remaining assets will be credited to the Client’s voucher account.

11.3 Gift vouchers can only be redeemed prior to the conclusion of the order procedure. Subsequent offsetting is not possible.

11.4 In case of an order, several vouchers can be redeemed.

11.5 If the value of the gift voucher is not enough for the order, the Client may choose one of the remaining payment methods offered by the Seller to pay the difference.

11.6 The gift voucher credit will not be redeemed in cash and is not subject to any interest.

12) Applicable Law

12.1 The law of the Federal Republic of Germany shall apply to all legal relationships between the parties under exclusion of the laws governing the international purchase of movable goods. For consumers, this choice of law only applies to the extent that the granted protection is not withdrawn by mandatory provisions of the law of the country, in which the consumer has his habitual residence.

12.2 With regard to the statutory right of cancellation, this choice of law does not apply to consumers who do not belong to a member state of the European Union at the time of the conclusion of the contract and whose sole place of residence and delivery address are outside the European Union at the time of the conclusion of the contract.

12.3 Furthermore, this choice of law regarding the right to cancel does not apply to consumers, who are not nationals of a member state of the European Union at the time of concluding the contract and whose exclusive domicile and delivery address is located outside of the European Union at the time of concluding the contract.

13) Alternative dispute resolution

13.1 The EU Commission provides on its website the following link to the ODR platform: https://ec.europa.eu/consumers/odr.

This platform shall be a point of entry for out-of-court resolutions of disputes arising from online sales and service contracts concluded between consumers and traders.

13.2 The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.

Allgemeine Geschäftsbedingungen mit Kundeninformationen

1) Geltungsbereich

1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend “AGB”) des Christian Habenicht (nachfolgend “Lizenzgeber”), gelten für alle Verträge, die ein Verbraucher oder Unternehmer (nachfolgend “Lizenznehmer”) mit dem Lizenzgeber hinsichtlich der vom Lizenzgeber in seinem Online-Shop dargestellten Software-Produkte (nachfolgend “Software”) abschließt. Hiermit wird der Einbeziehung von eigenen Bedingungen des Lizenznehmers widersprochen, es sei denn, es ist etwas anderes vereinbart.

1.2 Verbraucher im Sinne dieser AGB ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können.

1.3 Unternehmer im Sinne dieser AGB ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.

2) Vertragsgegenstand

2.1 Vertragsgegenstand ist die Überlassung der vom Lizenzgeber angebotenen Software an den Lizenznehmer in elektronischer Form unter Einräumung bestimmter, in diesen AGB genauer geregelten Nutzungsrechte.

2.2 Der Lizenznehmer erwirbt kein geistiges Eigentum an der Software. Der Quellcode (Source Code) der Software ist nicht Teil der überlassenen Software.

2.3 Für die Beschaffenheit der vom Lizenzgeber überlassenen Software ist die jeweilige Produktbeschreibung im Online-Shop des Lizenzgebers maßgeblich. Eine darüber hinausgehende Beschaffenheit der Software schuldet der Lizenzgeber nicht.

2.4 Die Installation ist nicht Vertragsbestandteil. Insoweit verweist der Lizenzgeber auf die Installationsanleitung. Dies gilt insbesondere auch für die Hard- und Softwareumgebung in der die Software eingesetzt wird.

2.5 Sofern sich aus der Produktbeschreibung des Lizenzgebers nichts anderes ergibt, erhält der Lizenznehmer keine zusätzlichen Support-Leistungen wie etwa Aktualisierungen der erworbenen Software-Version (Updates) oder individuellen Anwendungs-Support durch den Lizenzgeber.

3) Vertragsschluss

3.1 Die im Online-Shop des Lizenzgebers beschriebenen Software-Produkte stellen keine verbindlichen Angebote seitens des Lizenzgebers dar, sondern dienen zur Abgabe eines verbindlichen Angebots durch den Lizenznehmer.

3.2 Der Lizenznehmer kann das Angebot über das in den Online-Shop des Lizenzgebers integrierte Online-Bestellformular abgeben. Dabei gibt der Lizenznehmer, nachdem er die ausgewählte Software in den virtuellen Warenkorb gelegt und den elektronischen Bestellprozess durchlaufen hat, durch Klicken des den Bestellvorgang abschließenden Buttons ein rechtlich verbindliches Vertragsangebot in Bezug auf die im Warenkorb enthaltene Software ab.

3.3 Der Lizenzgeber kann das Angebot des Lizenznehmers innerhalb von fünf Tagen annehmen,

  • indem er dem Lizenznehmer eine schriftliche Auftragsbestätigung oder eine Auftragsbestätigung in Textform (Fax oder E-Mail) übermittelt, wobei insoweit der Zugang der Auftragsbestätigung beim Lizenznehmer maßgeblich ist, oder
  • indem er dem Lizenznehmer die bestellte Software überlässt, wobei insoweit der Zugang beim Lizenznehmer maßgeblich ist, oder
  • indem er den Lizenznehmer nach Abgabe von dessen Bestellung zur Zahlung auffordert.

Liegen mehrere der vorgenannten Alternativen vor, kommt der Vertrag in dem Zeitpunkt zustande, in dem eine der vorgenannten Alternativen zuerst eintritt. Nimmt der Lizenzgeber das Angebot des Lizenznehmers innerhalb vorgenannter Frist nicht an, so gilt dies als Ablehnung des Angebots mit der Folge, dass der Lizenznehmer nicht mehr an seine Willenserklärung gebunden ist.

3.4 Die Frist zur Annahme des Angebots beginnt am Tag nach der Absendung des Angebots durch den Lizenznehmer zu laufen und endet mit dem Ablauf des fünften Tages, welcher auf die Absendung des Angebots folgt.

3.5 Bei der Abgabe eines Angebots über das Online-Bestellformular des Lizenzgebers wird der Vertragstext nach dem Vertragsschluss vom Lizenzgeber gespeichert und dem Lizenznehmer nach Absendung von dessen Bestellung in Textform (z. B. E-Mail, Fax oder Brief) übermittelt. Eine darüber hinausgehende Zugänglichmachung des Vertragstextes durch den Lizenzgeber erfolgt nicht. Sofern der Lizenznehmer vor Absendung seiner Bestellung ein Nutzerkonto im Online-Shop des Lizenzgebers eingerichtet hat, werden die Bestelldaten auf der Website des Lizenzgebers archiviert und können vom Lizenznehmer über dessen passwortgeschütztes Nutzerkonto unter Angabe der entsprechenden Login-Daten kostenlos abgerufen werden.

3.6 Vor verbindlicher Abgabe der Bestellung über das Online-Bestellformular des Lizenzgebers kann der Lizenznehmer mögliche Eingabefehler durch aufmerksames Lesen der auf dem Bildschirm dargestellten Informationen erkennen. Ein wirksames technisches Mittel zur besseren Erkennung von Eingabefehlern kann dabei die Vergrößerungsfunktion des Browsers sein, mit deren Hilfe die Darstellung auf dem Bildschirm vergrößert wird. Seine Eingaben kann der Lizenznehmer im Rahmen des elektronischen Bestellprozesses so lange über die üblichen Tastatur- und Mausfunktionen korrigieren, bis er den den Bestellvorgang abschließenden Button anklickt.

3.7 Für den Vertragsschluss steht ausschließlich die deutsche Sprache zur Verfügung.

3.8 Die Bestellabwicklung und Kontaktaufnahme finden in der Regel per E-Mail und automatisierter Bestellabwicklung statt. Der Lizenznehmer hat sicherzustellen, dass die von ihm zur Bestellabwicklung angegebene E-Mail-Adresse zutreffend ist, so dass unter dieser Adresse die vom Lizenzgeber versandten E-Mails empfangen werden können. Insbesondere hat der Lizenznehmer bei dem Einsatz von SPAM-Filtern sicherzustellen, dass alle vom Lizenzgeber versandten E-Mails zugestellt werden können.

4) Widerrufsrecht

Verbrauchern steht grundsätzlich ein Widerrufsrecht zu. Nähere Informationen zum Widerrufsrecht ergeben sich aus der Widerrufsbelehrung des Lizenzgebers.

5) Vergütung

5.1 Für die Überlassung der Software unter Einräumung der erforderlichen Nutzungsrechte erhält der Lizenzgeber eine Pauschallizenzgebühr, deren Höhe sich aus der jeweiligen Produktbeschreibung ergibt.

5.2 Die vom Lizenzgeber angegebenen Preise sind Gesamtpreise und enthalten die gesetzliche Umsatzsteuer.

5.3 Bei Zahlungen in Ländern außerhalb der Europäischen Union können im Einzelfall weitere Kosten anfallen, die der Lizenzgeber nicht zu vertreten hat und die vom Lizenznehmer zu tragen sind. Hierzu zählen beispielsweise Kosten für die Geldübermittlung durch Kreditinstitute (z.B. Überweisungsgebühren, Wechselkursgebühren).

5.4 Dem Lizenznehmer stehen verschiedene Zahlungsmöglichkeiten zur Verfügung, die im Online-Shop des Lizenzgebers angegeben werden.

6) Lieferung der Software

6.1 Der Lizenzgeber bewirkt die Lieferung, indem er dem Lizenznehmer eine digitale Kopie der Software zum Download über das Internet zur Verfügung stellt. Hierzu stellt der Lizenzgeber dem Lizenznehmer per E-Mail einen Link zur Verfügung, über den der Lizenznehmer den Download der digitalen Kopie einleiten und die Speicherung der Kopie an einem von ihm gewählten Speicherort vornehmen kann.

6.2 Für die Einhaltung von etwaigen Lieferterminen ist der Zeitpunkt maßgebend, in dem die Software im Netz abrufbar bereitgestellt ist und dies dem Lizenznehmer mitgeteilt wird.

7) Einräumung von Nutzungsrechten

7.1 Der Lizenzgeber räumt dem Lizenznehmer ein einfaches, zeitlich unbegrenztes, übertragbares Recht ein, die Software in der vereinbarten Hard- und Softwareumgebung zu privaten und/oder geschäftlichen Zwecken zu nutzen.

7.2 Ein Bearbeitungsrecht wird dem Lizenznehmer nicht eingeräumt.

7.3 Die Vermietung der Software ist nicht zulässig.

7.4 Dem Lizenznehmer ist es verboten, ggf. vorhandenen Kopierschutz zu entfernen und/oder zu verändern.

7.5 Der Lizenznehmer verpflichtet sich, durch angemessene technische und organisatorische Maßnahmen dafür zu sorgen, dass die bestimmungsgemäße Nutzung der Software sichergestellt ist.

7.6 Der Lizenznehmer ist berechtigt, von der Software eine Kopie zu Sicherungszwecken herzustellen. Die einer ordnungsgemäßen Datensicherung dienenden Vervielfältigungen der Software sind Teil des bestimmungsgemäßen Gebrauchs.

7.7 Macht der Lizenznehmer von seinem Recht zur Übertragung der Nutzungsrechte an einen Dritten Gebrauch, hat er seine vertraglichen Verpflichtungen dem Dritten aufzuerlegen. Mit der Übertragung erlöschen die Nutzungsrechte des Lizenznehmers. Alle vorhandenen Kopien der Software sind zu löschen.

7.8 Die Rechtseinräumung wird gem. § 158 Abs. 1 BGB erst wirksam, wenn der Lizenznehmer die geschuldete Vergütung vollständig geleistet hat.

7.9 Verletzt der Lizenznehmer die vereinbarten Nutzungsrechte schwerwiegend, kann der Lizenzgeber die Einräumung der Nutzungsrechte an der betroffenen Software außerordentlich kündigen. Dies setzt eine erfolglose Abmahnung mit angemessener Fristsetzung durch den Lizenzgeber voraus.

7.10 Im Falle der Kündigung ist der Lizenznehmer verpflichtet, alle vorhandenen Kopien der Software zu löschen und dies dem Lizenzgeber auf Verlangen in Textform zu bestätigen.

7.11 Die sonstigen gesetzlichen und vertraglichen Regelungen bleiben unberührt.

8) Mitwirkungsobliegenheiten des Lizenznehmers

8.1 Der Lizenznehmer hat sich über die wesentlichen Funktionsmerkmale der Software zu informieren und trägt das Risiko, ob diese seinen Wünschen und Bedürfnissen entspricht. Die Einrichtung einer funktionsfähigen und auch unter Berücksichtigung der zusätzlichen Belastung durch die Software ausreichend dimensionierten Hard- und Softwareumgebung für die Software liegt in der alleinigen Verantwortung des Lizenznehmers.

8.2 Der Lizenznehmer hat die vom Lizenzgeber für die Installation und den Betrieb der Software gegebenen Hinweise zu beachten.

8.3 Der Lizenzgeber empfiehlt dem Lizenznehmer, angemessene Vorkehrungen für den Fall zu treffen, dass die Software ganz oder teilweise nicht ordnungsgemäß arbeitet (z.B. durch tägliche Datensicherung, Störungsdiagnose, regelmäßige Überprüfung der Datenverarbeitungsergebnisse) und vor Installation der Software eine geeignete Sicherung seiner Daten durchzuführen.

9) Mängelhaftung

Ist die Software mangelhaft, gelten die Vorschriften der gesetzlichen Mängelhaftung.

10) Anwendbares Recht

Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird.

11) Gerichtsstand

Handelt der Kunde als Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen mit Sitz im Hoheitsgebiet der Bundesrepublik Deutschland, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag der Geschäftssitz des Verkäufers. Hat der Kunde seinen Sitz außerhalb des Hoheitsgebiets der Bundesrepublik Deutschland, so ist der Geschäftssitz des Verkäufers ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag, wenn der Vertrag oder Ansprüche aus dem Vertrag der beruflichen oder gewerblichen Tätigkeit des Kunden zugerechnet werden können. Der Verkäufer ist in den vorstehenden Fällen jedoch in jedem Fall berechtigt, das Gericht am Sitz des Kunden anzurufen.

12) Alternative Streitbeilegung

12.1 Die EU-Kommission stellt im Internet unter folgendem Link eine Plattform zur Online-Streitbeilegung bereit: https://ec.europa.eu/consumers/odr

Diese Plattform dient als Anlaufstelle zur außergerichtlichen Beilegung von Streitigkeiten aus Online-Kauf- oder Dienstleistungsverträgen, an denen ein Verbraucher beteiligt ist.
